The parties

These Terms are a binding agreement between you and Yes No Capital LLC ("we", "us"), a Minnesota limited liability company at 202 N Cedar Ave, Ste 1, Owatonna, MN 55060, which operates Yes No Levels at yesnolevels.com (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.

Yes No Capital LLC is not an investment fund, asset manager, broker-dealer, registered investment advisor, commodity trading advisor or financial institution. We do not hold, manage or invest anyone's money and we do not execute trades. We publish a technical analysis tool that draws computed levels on trading charts.

What the Service is

Yes No Levels is a technical analysis indicator distributed as Pine Script through TradingView. It combines multiple independent technical methods across multiple timeframes and marks agreement zones where those methods historically lined up at the same price; the more that agree, the stronger the zone. The specific methods, weighting and calibration are proprietary. It is offered as one plan, Yes No Levels Pro, at $47.77 a month after a 7-day free trial, and the plan includes a weekly report. The indicator displays what is on the chart. It does not place trades, manage positions, recommend positions or tell you what to do with any position. Every decision to enter, exit, hold or avoid a trade is yours alone.

Nothing Yes No Levels publishes is advice of any kind, as the next sections set out.

Not financial advice

Everything Yes No Levels publishes (the indicator itself, agreement zone outputs, historical statistics, narrative output, alerts, the help page, the transparency page, the website, marketing materials and any other content) is provided strictly for informational and educational purposes. Nothing Yes No Levels publishes is:

Every historical statistic shown in the indicator or on the website is a backtested observation of past price action. Backtested results describe what happened in the past; they are not predictions and past performance does not guarantee future results. Technical analysis is retrospective: it describes what has happened, not what will happen.

Trading and investing carry a substantial risk of loss. Leverage, options, futures, forex and cryptocurrency trading can produce losses larger than the money you put in. Consult a qualified financial advisor before making any financial decision.

Yes No Capital LLC is not a registered investment advisor, and every Yes No Levels publication is an impersonal broadcast: the same content goes to every subscriber, and none of it is prepared for any one person's situation. Nothing we publish creates an advisory relationship or a fiduciary duty.

No guarantees on data accuracy

Market data used by the indicator comes from TradingView and its data providers, and historical statistics are computed from backtests against third-party market data. We make no guarantee about the accuracy, completeness, timeliness or reliability of any data displayed or computed.

Data feeds can fail, lag or return errors. Indicator calculations can differ between live and replay modes because of limits in Pine Script's historical data requests. Sessions can lock at different times than expected around market holidays and daylight saving changes. Market data can be delayed relative to the exchange's own feed.

Verify any data independently before you rely on it, and check your broker's quote before placing any trade.

Weekly Pro report

Every Yes No Levels Pro subscription includes a weekly report published at the same time to every Pro subscriber. These reports are impersonal broadcast publications, not custom, tailored or bespoke research for any individual subscriber. They give market data broader context.

Pro reports are not financial advice, create no advisory relationship and create no fiduciary duty. The Pro tier operates under the publisher's exclusion recognized in Lowe v. SEC, 472 U.S. 181 (1985).

Your account

You must be at least eighteen. One account per person. Keep your email address current, because it is how we reach you about your account and about changes to these Terms. You are responsible for what happens under your account and for keeping your sign-in method secure.

Subscriptions, billing and price changes

Yes No Capital LLC is the merchant of record for every Yes No Levels transaction. Before you buy, the checkout shows you, next to the button that commits you, the price, that the plan renews automatically at the end of each billing period until you cancel, the length of each period, that there is no minimum purchase, and how to cancel. We never charge you before you have agreed to the plan. Prices are set in US dollars whatever method you pay with.

After you subscribe we email you a confirmation you can keep: the plan, the price, the length of each period, how to cancel, and, if the plan starts with a free trial, the day the trial ends and how to cancel before the first charge. If a plan starts with a free trial we also email you a reminder before the trial ends and before anything is charged, whatever the length of the trial.

You can cancel at any time: on your account page at yesnolevels.com/dashboard, choose Manage subscription & billing, enter the sign-in code we email you so we know it is you, then cancel in the Stripe billing portal. We ask only for what is needed to confirm it is you and process the cancellation. The cancellation takes effect at the end of the current period and you keep access until then. When you cancel we do not delay it and we do not push offers at you; we may ask once why you are leaving, and you do not have to answer. If you cannot get through those steps, email us and the cancellation counts from the day your email arrives. Refunds follow our Refund Policy.

We may change prices. A price change never applies to a period you have already paid for. We email you at least thirty days before a new price takes effect at your next renewal. The message you can keep states your current price, the new price, the date it starts, why we are changing it, and how to cancel before then at no cost. A change to these billing terms that we did not announce this way does not bind you.

If a plan ever runs as a continuous service with no fixed renewal period, we email you at least once a year with its terms and how to cancel or manage it.

Taxes are added where the law requires. If a payment fails we retry and tell you, and we may suspend access until it is settled.

How we communicate

We send account, billing, security and policy email to the address on your account for as long as you hold one. Marketing email and text messages are sent only if you opt in, under the terms in the Privacy Policy, and you can opt out at any time. Notices under these Terms are given by email to your account address and are effective when sent.

Acceptable use

Use the Service for its intended purpose and within the law. Do not share your access with others, scrape or bulk-download content, reverse engineer the Service, interfere with its operation, or use it to harm anyone. We may suspend or terminate accounts that break this section.

Content and intellectual property

The Service, its software, designs, data and content belong to Yes No Capital LLC or its licensors. Your subscription gives you a personal, non-transferable right to use them while your account is in good standing, and nothing more. Anything you submit stays yours; you give us the right to store, process and display it as needed to run the Service for you.

The indicator's source code, algorithms, scoring method, narrative templates, backtest results, visual design and aggregation logic are proprietary to Yes No Capital LLC. You may not republish the source code, reverse engineer the indicator, share your TradingView access with others, resell or redistribute the indicator or any derivative work, scrape or bulk-extract data from Yes No Levels, or use its output to build a competing product.

Changes to the Service

We improve the Service continuously and we may add, change or retire features. If we remove a feature that was a material part of a plan you paid for, we tell you at least thirty days in advance and you may cancel for a pro-rata refund of the unused prepaid period. We may also discontinue the Service entirely, with at least sixty days notice and a refund of any unused prepaid period.

Changes to these Terms

These Terms carry a version number and an effective date at the top. A change is material if it reduces what you can do or what we owe you, raises what you pay, adds a new way we use your personal information, adds a new way we contact you, or changes how disputes are decided. Adding a feature, fixing an error, rewording for clarity, updating a name or address, adding or swapping a service provider in a category our Privacy Policy already lists, and changes that are better for you are not material.

For a material change we email every account holder at least thirty days before the new version takes effect, in a message you can keep that says what changed and how to cancel. For a change to the limitation of liability, to how disputes are decided, or to how we use your personal information, we ask you to accept the new version with one click, and we record the version, the time and the words you were shown. Until you do, the version you accepted before stays in force for you. For every other material change, continued use after the effective date means you accept it. If you do not accept it, cancel before the effective date and we refund any unused prepaid period. We record which version you accepted and when.

If the law or a court requires a change sooner, or an urgent security problem leaves no time, we make only that change, tell you by email on the day it takes effect, and say why. If a change is better for you, it can take effect when posted. Non-material changes, such as clarifications, take effect when posted here with a new version number.

A new version applies from its effective date forward. It does not change what you paid for before that date, and it does not apply to a claim or dispute that either of us began before that date.

Termination

You may close your account at any time. We may suspend or terminate your account for breach of these Terms, for non-payment, or where the law requires, and we will tell you why unless the law prevents it. Sections that by their nature should survive, including payment obligations, intellectual property, disclaimers, limitation of liability and governing law, survive termination.

Disclaimers

The Service is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy and non-infringement. We do not promise the Service will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, Yes No Capital LLC's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, even if advised of the possibility. That includes trading losses, missed opportunities, tax consequences, broker fees, slippage, execution errors, data outages and decisions made from indicator output. Some jurisdictions do not allow some of these limits, and in those places the limits apply to the extent allowed.

Indemnity

You will defend and hold Yes No Capital LLC harmless from claims arising out of your breach of these Terms or your misuse of the Service.

Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Service is brought exclusively in the state or federal courts located in Minnesota, and both parties consent to their jurisdiction. There is no arbitration clause and nothing here waives your right to join a class action.

Assignment

You may not assign these Terms. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of our assets, and the successor takes over our obligations to you under these Terms and the Privacy Policy.

General

These Terms, the Privacy Policy and the Refund Policy are the entire agreement between us about the Service. If a part is found unenforceable the rest stands. A failure to enforce a right is not a waiver of it. Headings are for reading only.
